外商投資有限公司設立 （臺港澳獨資）

一、公司類型定義境外投資主體投資設立。

二、設立條件
1）有符合登記要求的投資者；
2）有符合登記要求的經(jīng)營場所；
3）注冊資本達到法定資本的最低限額：

商品貿易，注冊資本最低人民幣 50 萬元; 管理咨詢，注冊資本最低人民幣 10 萬元；

生產經(jīng)營，注冊資本最低人民幣 100 萬元; 商品貿易，注冊資本最低人民幣　50 萬元；

一般服務，注冊資本最低人民幣 100 萬元; 貨運代理，注冊資本最低人民幣 50 萬元；　

產品開發(fā)，注冊資本最低人民幣 100 萬元; 生產經(jīng)營，注冊資本最低人民幣 100 萬元；

餐飲服務，注冊資本最低人民幣 100 萬元; 餐飲服務，注冊資本最低人民幣 100 萬元；　　　　　　　　　　　　

合資廣告，注冊資本最低人民幣 100 萬元; 獨資廣告，注冊資本最低人民幣 100 萬元；

三、需提供材料及其要求
1:投資者主體資格材料：

= = = 經(jīng)所在國家公證機關公證并經(jīng)我國駐該國使（領）館認證的外國投資者的（公司）注冊登記證明或（自然人）身份證明文件（原件1份），香港、澳門或臺灣地區(qū)投資者提供經(jīng)當?shù)毓C機構公證的（公司）注冊登記證明或（自然人）身份證明文件（原件1份）；

2:深圳獨資公司經(jīng)營場所的房地產租賃合同書原件2份，4點要求：
A:以股東之一姓名租用;
B:面積與申報的經(jīng)營規(guī)模一致;
C:用途與申報的營業(yè)范轉一致;
D:該租賃合同須經(jīng)房屋租賃管理所登記（蓋合同登記專用章.）
3、深圳公司董事、監(jiān)事、經(jīng)理身份證、臺胞證，法定代表人二寸彩照1張。

四、承辦流程

七、出資期限
不分期一次性繳足注冊資本的，在公司設立日起6個月內一次性繳清；
分期繳足注冊資本的，按下列期限投入：
注冊資本50萬美元以下的，自公司設立起12個月內繳足（首期應在3個月內投入，且不低于注冊資本的15%）;
注冊資本在50萬美元以上100萬美元以下的，自公司設立起18個月內繳足（首期15%以上應在3個月內投入）;
注冊資本100萬美元以上300萬美元以下的，自公司設立起24個月內繳足（首期15%以上應在3個月內投入）;
注冊資本300萬美元以上1000萬美元以下的，自公司設立起36個月內繳足（首期15%以上應在3個月內投入）;
注冊資本在1000萬美元以上的，由審批機關視實際情況審批。

八、證照年檢
外商投資公司實行年檢制度。企業(yè)應在每年3月1日至6月30日止向七個部門申辦聯(lián)合年檢手續(xù)。
注：前置許可
根據(jù)（外商投資產業(yè)指導目錄））項下列為限制外商投資類項目及根據(jù)深圳市人民政府134號令（（關于發(fā)布深圳市行政審批事項清理結果的決定））所列必須先進行前置許可后才準予設立登記的項目。涉及前置許可的項目一般指：股份公司設立，電力供應，煤炭礦產資源開采生產經(jīng)營，食鹽生產批發(fā)，道路貨運及客運，車輛維修及報廢回收，國際海運及水路運輸，航空運輸，加油站及成品油批發(fā)、零售，醫(yī)療機構及器械，藥品藥具，安技防工程及產品，書報雜志，基礎電信，人才中介及職業(yè)介紹，農藥獸藥，印刷，互聯(lián)上網(wǎng)服務，食品及酒類生產，餐飲娛樂，拍賣，典當，出版業(yè)及音像制品，保險，銀行，證券，建筑，會計，辦學，法律服務，軍工及武器裝備，易燃易爆及劇毒放射物品，?；芳拔ｋU廢物，旅行社，出國中介服務等項目。

1.The type of the company defines the establishment of Foreign-invested Company.
2.The requirements of establishment.
1) Investors who meet the requirements of registration;

4. The contractor process

Seven, the investment period
Not staging a one-time payment of the registered capital of the company, in 6 months after the establishment of a one-time payment;
To pay the registered capital of the full term, as the following term is put into:
Registered capital of  RMB 500000 yuan , since the company set up within 12 months to pay enough (the first phase should be within 3 months, and not less than 15% of the registered capital);
Registered capital of RMB 1000000 yuan or more of the following 500000 yuan, since the company set up within 18 months to pay enough (the first phase of 15% should be within 3 months);
Registered capital of RMB 3000000 yuan or more of the following 1000000 yuan, since the company set up within 24 months to pay enough (the first phase of more than 15% should be within 3 months);
Registered capital of RMB 10000000 yuan or more of the following 3000000 yuan, since the company set up within 36 months to pay enough (the first phase of more than 15% should be within 3 months);
Registered capital of RMB 10000000 yuan or more, by the examination and approval authorities as the actual situation for approval.
